NSW Sea Kayak Club 2012 Annual General Meeting
The Annual General Meeting 2012 of the Club is to take place at 5.00pm on Saturday 21 July, 2012 at the Coast Golf Club, 1 Coast Hospital Road, Little Bay NSW 2036.
At the AGM, the reports of the committee members will be presented along with the financial statements.
There will trips and training events through the day, all planning to finish no later than 4pm to allow time to pack up and get changed
There will be dinner following the meeting. The Club offers a range of nice meals at around $15-$20 that can be ordered on arrival at the Club to be served after the meeting.
During / after dinner, there will be two presentations:
- Rob Mercer, Mark Sundin and Chris James will give a talk about their North Reef kayaking expedition.
- Stephan Meyn will give a talk about his Canadian expedition.
If you are planning on coming to the AGM, can you please register for the event via the Club's website under 'Trips'. We need to know numbers for catering and seating purposes.

3. Special Resolution – Adoption of a new Constitution
The following resolution will be proposed, considered and if thought fit, passed as a special resolution in accordance with Part 5, Section 37 of the NSW Sea Kayak Club Inc’s constitution:
“THAT the NSW Sea Kayak Club Inc, adopt the proposed constitution as circulated in the Notice to this meeting and tabled in this meeting as its Constitution.”

Special Resolution – Adoption of a new Constitution
All associations are required to have a constitution which governs how it is managed.
The NSW legislation contains generic model rules that associations can adopt as their constitution.
The NSW Sea Kayak Club was incorporated on 12 November 1991 and its constitution, according to the NSW Department of Fair Trading, is the model rules.
Associations can modify or create new rules to suit their circumstances and it appears that the NSW Sea Kayak Club did this on or around December 2000. A resolution regarding a change in the NSW Sea Kayak Club’s constitution was lodged with the NSW Department of Fair Trading on 20 December 2000.
Why is the change in the NSW Sea Kayak Club’s Constitution being proposed
Key advantages in adopting a new constitution are:
i) to update / modernise to the new / current model rules
The NSW Government’s model rules have changed effective 1 July 2010. We are using ‘old’ model rules and the NSW Department of Fair Trading have recommended that the NSW Sea Kayak Club update and adopt the more modern rules.
ii) to correct the apparent defect in that we don’t know what changes were made on or around 20 December 2000 to the rules.
The club constitution was amended by a resolution that was lodged with the NSW Department of Fair Trading on 20 December 2000. The Club’s Committee doesn’t have a copy of this variation to the club’s constitution. NSW Department of Fair Trading also doesn’t have a copy, and we have enquired with past presidents, the instructor group and life members to see what records anyone may have. There were no positive responses to enquiries.
Process to change the Club’s constitution
The NSW Sea Kayak Club’s constitution is amendable only by a special resolution. For the resolution to be passed, 75% of those present and voting at an AGM or EGM must vote for the resolution.
Proposed Constitution
The Club Committee enlisted Club member, Michael Steinfeld, a practicing solicitor, to assist it in drafting the proposed constitution. Michael has advised on the process and has lead the drafting of the proposed constitution and has received and incorporated feedback from the current Club Committee, life members, instructors, guides and trip leaders.
The Club Committee unanimously recommend the resolution below be passed:
“THAT the NSW Sea Kayak Club Inc, adopt the proposed constitution as circulated in the Notice to this meeting and tabled in this meeting as its Constitution.”
